Terms of Service

Plain-language summary. The Abertide desktop app is free to use locally. Optional cloud services may be paid. You own your content. The software is provided "as is". Connecting third-party tools (like Jira) also means agreeing to those providers' terms.
1. Acceptance of these terms
By downloading, installing, or using Abertide (the "Service"), you agree to these Terms of Service. If you do not agree, do not use the Service.
2. The service
Abertide provides a local-first project workspace as a desktop application, together with optional cloud services (such as Managed Sync, Publish, and team collaboration). The desktop application works without an account and without any cloud service. Cloud services are opt-in and may require an account and, in some cases, a paid subscription.
3. Accounts
You only need an account to use cloud features. You are responsible for keeping your credentials secure and for activity under your account. You must provide accurate information and be old enough to form a binding contract in your jurisdiction.
4. Acceptable use
You agree not to use the Service to break the law, infringe others' rights, distribute malware, attempt to gain unauthorised access to our systems or other users' data, or abuse cloud resources (for example, by overwhelming sync infrastructure). We may suspend access that threatens the Service or other users.
Autonomous agents act under your direction. Abertide lets you run AI agents that can take real actions on your behalf — running shell commands, reading and writing files, committing and pushing to Git, and writing to connected systems such as Jira. These agents act under your direction, with your credentials, at the autonomy level you set. You are responsible for supervising them, for choosing the autonomy level, for reviewing their changes before you rely on them, and for keeping your own backups and version control. You are responsible for everything these agents do under your account, and you agree not to use them for unlawful or abusive automation — for example, attacking or gaining unauthorised access to systems, generating malware, mass-scraping in breach of others' terms, or evading a provider's usage limits. To the maximum extent permitted by law, Abertide is not responsible for the actions, output, or consequences of agents you run, and the disclaimers and limits in sections 9 and 10 apply to them.
5. Your content
You retain all ownership of the content you create with Abertide. We claim no ownership of it. For local-only use, your content never reaches us. For vaults you choose to sync, you grant us the limited rights necessary to store, transmit, and (for SaaS-mode vaults) display and process that content solely to provide the cloud features you have enabled — nothing more. You are responsible for having the rights to the content you store and sync.
6. Third-party services
The Service can connect to third-party products (for example, Atlassian Jira, GitHub, or AI providers) using credentials you supply or authorise. Your use of those products is governed by their own terms and privacy policies, and we are not responsible for them. You are responsible for complying with the terms of any service you connect.
7. Paid services
Some cloud features may be offered on a paid subscription. Pricing, billing cycle, and what is included will be presented before you purchase. Unless stated otherwise or required by law, fees are non-refundable for periods already started. We will give reasonable notice of material pricing changes. You can cancel a subscription at any time; the desktop app and your local data remain usable.
8. Intellectual property
The Abertide application, website, name, and logo are owned by Abertide and protected by applicable law. We grant you a personal, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms. These Terms do not grant you any right to our trademarks.
9. Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that data (local or synced) will never be lost. You are responsible for maintaining your own backups.
10. Limitation of liability
To the maximum extent permitted by law, Abertide will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising out of or related to your use of the Service. Where liability cannot be excluded, it is limited to the amount you paid us (if any) for the Service in the twelve months before the claim.
11. Termination
You may stop using the Service at any time and uninstall the app; your local data remains yours. We may suspend or terminate access if you materially breach these Terms or to comply with law. On termination of a paid plan, you can export or switch your synced vaults back to local-only.
12. Changes to these terms
We may update these Terms as the Service evolves. We will update the "last updated" date and, for material changes affecting cloud users, provide reasonable notice. Continued use after changes take effect constitutes acceptance.
13. Governing law
These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict-of-laws rules, and you and Abertide submit to the exclusive jurisdiction of the state and federal courts located in Delaware. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Your local consumer rights still apply. If you use the Service as a consumer, nothing in this section deprives you of the protection of mandatory consumer-protection laws of the country where you live. In particular, if you are a consumer resident in the European Union, the United Kingdom, the Republic of Korea, or Japan, you keep the benefit of any mandatory rights — including, where they apply, your right to bring proceedings in your own country's courts and to rely on the consumer law of your place of residence — and those rights prevail over this section to the extent of any conflict.
